Introduction
Welcome to LoadShield.
These Terms of Service (“Terms”) constitute a legally binding agreement between LoadShield Inc. (“LoadShield,” “we,” “our,” or “us”) and the individual or legal entity accessing or using the LoadShield Platform (“User,” “Customer,” or “you”).
These Terms govern your access to and use of the LoadShield website, mobile applications, software, APIs, databases, communication services, identity verification tools, fraud prevention services, carrier onboarding solutions, transportation risk management tools, electronic document services, SMS authentication services, and all other products and services made available by LoadShield (collectively, the “Platform” or “Services”).
LoadShield provides technology designed to improve trust, transparency, compliance, and operational efficiency throughout the freight transportation industry by helping brokers, shippers, carriers, dispatch services, freight forwarders, logistics providers, warehouses, and other authorized transportation professionals verify identities, manage transportation risks, and exchange freight-related information securely.
The Services are licensed—not sold—to you.
SECTION 1
1. Acceptance of Terms
By creating an account, clicking “Accept,” using the Platform, accessing any LoadShield Services, or otherwise interacting with the Platform, you acknowledge and agree that:
• You have read and understand these Terms.
• You are at least eighteen (18) years of age or otherwise legally authorized to enter into binding contracts.
• If you are acting on behalf of a corporation, partnership, limited liability company, governmental agency, or other legal entity, you represent that you have authority to bind that entity.
• You agree to comply with these Terms and all applicable federal, state, provincial, and local laws and regulations.
• You also agree to our Privacy Policy, Cookie Policy, and any additional agreements applicable to specific LoadShield Services.
If you do not agree to these Terms, you may not access or use the Platform.
2. License Grant
Subject to your continued compliance with these Terms, LoadShield grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform solely for your legitimate internal business operations related to freight transportation and logistics.
This license permits authorized Users to:
• Verify carrier identities.
• Verify broker identities.
• Review transportation risk indicators.
• Access subscription-based databases.
• Exchange freight documentation.
• Utilize electronic Bills of Lading (eBOL).
• Utilize electronic Proofs of Delivery (ePOD).
• Generate secure shipment verification credentials.
• Receive shipment alerts.
• Use identity verification tools.
• Use fraud detection and carrier monitoring services.
• Use LoadShield APIs and integrations where authorized.
• Access dashboards, reporting, and compliance tools.
Except as expressly authorized in writing by LoadShield, you may not:
• Copy or reproduce the Platform.
• Sell or redistribute Platform data.
• Create competing databases.
• Reverse engineer any software.
• Scrape Platform content.
• Use automated bots without authorization.
• Circumvent security features.
• Use Platform information for unlawful or deceptive purposes.
All rights not expressly granted are reserved by LoadShield.
3. Promotional License
By becoming a LoadShield Customer, you grant LoadShield a limited, royalty-free, non-exclusive license to display your business name, company logo, and publicly available trademarks solely for identifying your participation on the Platform and for reasonable marketing, customer reference, and promotional purposes.
LoadShield will not imply endorsement of any product or service beyond your participation as a customer unless separately authorized in writing.
You may revoke this promotional license at any time by providing written notice to LoadShield. Revocation will not affect materials previously published before receipt of your request.
4. Modifications to These Terms
LoadShield may revise these Terms periodically to reflect changes in law, technology, industry standards, security requirements, or Platform functionality.
When material changes are made, LoadShield will provide reasonable notice through one or more of the following:
• Email notification. Platform notification.
• Dashboard announcement.
• Website publication.
Updated Terms become effective on the stated effective date.
Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
If you do not agree to revised Terms, you must discontinue use of the Platform before the revised Terms become effective.
5. Changes to the Platform
LoadShield continually improves its Services.
Accordingly, LoadShield reserves the right to:
• Add or remove features.
• Modify workflows.
• Introduce new products.
• Update verification standards.
• Integrate third-party technologies.
• Suspend certain functionality.
• Retire legacy features.
• Improve fraud detection systems.
• Modify APIs.
• Change subscription plans.
These modifications may occur without prior notice when necessary to protect Platform security, comply with legal requirements, improve operational reliability, or prevent fraud.
LoadShield is not liable for temporary interruptions, maintenance windows, feature retirements, or modifications reasonably necessary to maintain the integrity and security of the Platform.
SECTION 2 – USER ACCOUNTS, IDENTITY VERIFICATION, COMMUNICATIONS, AND PLATFORM SECURITY
6. User Accounts
Certain features of the LoadShield Platform require the creation of a registered user account (“Account”). By registering for an Account, you agree to provide accurate, current, complete, and truthful information at all times.
You are responsible for maintaining the accuracy of your account information, including but not limited to:
• Legal business name
• Business address
• USDOT and MC numbers, where applicable
• Employer Identification Number (EIN), if requested
• Primary business contacts
• Authorized users
• Telephone numbers
• Email addresses
• Payment information
• Insurance information
• Banking information used for verification, when applicable
LoadShield may request additional documentation at any time to verify the legitimacy of an Account or to comply with legal, regulatory, security, or fraud-prevention requirements.
Failure to provide requested information may result in restricted access, suspension, or termination of Services.
7. Identity Verification
One of LoadShield’s primary purposes is establishing trust throughout the freight transportation ecosystem.
Accordingly, LoadShield may verify the identity of Users using information obtained from:
• Government-issued identification
• FMCSA records
• USDOT databases
• Motor carrier registrations
• Business registrations
• Insurance providers
• Banking institutions
• Telephone verification
• Email verification
• Device authentication
• Multi-factor authentication (MFA)
• Commercial verification providers
• Publicly available records
• Other lawful verification sources
Identity verification may be required before a User may access certain Services or complete specific transactions.
LoadShield reserves the right to deny, delay, suspend, or revoke verification if submitted information cannot be verified or if fraudulent activity is suspected.
Verification by LoadShield does not constitute a guarantee of financial stability, legal compliance, operational performance, insurance coverage, licensing status, or future conduct.
8. Authorized Users
Business Customers may authorize employees, officers, agents, dispatchers, contractors, or other representatives to access their Account.
The Customer is solely responsible for:
• Assigning appropriate user permissions.
• Removing former employees or contractors.
• Maintaining password security.
• Monitoring account activity.
• Ensuring compliance with these Terms.
All actions performed through an Account are deemed authorized by the Customer unless reported as unauthorized in accordance with these Terms.
9. Account Security
You are solely responsible for safeguarding your login credentials.
You agree to:
• Maintain the confidentiality of usernames and passwords.
• Use strong passwords.
• Enable Multi-Factor Authentication where available.
• Restrict unauthorized access to your devices.
• Log out from shared devices.
• Promptly report suspected unauthorized access.
You must immediately notify LoadShield if you believe:
• Your password has been compromised.
• Your Account has been accessed without authorization.
• Fraudulent activity has occurred.
• Your registered email address has been changed without authorization.
• Your authentication device has been lost or stolen.
LoadShield is not responsible for losses resulting from your failure to adequately protect your credentials.
10. Communications
By creating an Account or using the Platform, you consent to receive communications from LoadShield, including:
• Account notifications
• Security alerts
• Login verification messages
• One-time passwords (OTP)
• Multi-factor authentication (MFA) requests
• Shipment verification notifications
• Pickup verification codes
• Delivery verification confirmations
• Identity verification requests
• Compliance notifications
• Billing notices
• Subscription renewals
• Service announcements
• Maintenance notifications
• Legal notices
• Customer support communications
Communications may be delivered through:
• Email
• SMS text messaging
• Voice calls
• Mobile application notifications
• Browser notifications
• Platform messaging
• API notifications
Message frequency varies based on Platform activity.
Standard carrier message and data rates may apply.
Users are responsible for maintaining accurate contact information to ensure timely delivery of communications.
11. SMS Authentication and One-Time Passwords
LoadShield uses SMS and other authentication methods to enhance Platform security.
One-Time Passwords (OTP), verification codes, and authentication tokens are intended solely for the registered User.
Users agree that they will not:
• Share authentication codes with unauthorized persons.
• Attempt to bypass authentication procedures.
• Interfere with security verification processes.
• Use automated systems to obtain authentication credentials.
LoadShield may invalidate authentication codes at any time if suspicious activity is detected.
Failure to successfully complete authentication may prevent access to certain Platform features.
12. Fraud Prevention and Security Monitoring
To protect the integrity of the Platform, LoadShield continuously monitors account activity for indicators of fraud, identity theft, unauthorized access, account compromise, cargo theft, double brokering, fictitious pickups, document fraud, payment fraud, and other suspicious activities.
LoadShield may:
• Suspend transactions pending review.
• Require additional identity verification.
• Temporarily restrict account access.
• Request supporting documentation.
• Flag suspicious activity for investigation.
• Notify affected Users.
• Cooperate with law enforcement or regulatory agencies where legally required or appropriate.
LoadShield’s fraud prevention measures are designed to reduce risk but do not guarantee that fraudulent activity will be detected or prevented.
13. User Responsibilities
Users agree to use the Platform responsibly and in good faith.
You agree not to:
• Create false identities.
• Misrepresent your authority.
• Provide inaccurate information.
• Circumvent verification procedures.
• Attempt unauthorized access to another Account.
• Use the Platform for unlawful purposes.
• Upload malicious software or harmful code.
• Engage in deceptive or fraudulent conduct.
• Interfere with Platform operations.
Violation of this Section may result in immediate suspension or permanent termination of your Account, without limiting any other rights or remedies available to LoadShield under these Terms or applicable law.
SECTION 3 – CONTENT, USER CONTENT, VERIFICATION DATA, IDENTITY ALERTS, AND ELECTRONIC FREIGHT DOCUMENTS
14. Platform Content
The LoadShield Platform contains information, databases, software, text, graphics, logos, reports, images, videos, analytics, verification results, compliance indicators, transportation intelligence, documentation, APIs, and other materials (collectively, “Platform Content”).
Except for User Content as described below, all Platform Content is owned by or licensed to LoadShield and is protected by applicable copyright, trademark, trade secret, database, and other intellectual property laws.
Your use of Platform Content is limited to the rights expressly granted under these Terms. No ownership rights are transferred to you.
15. User Content
You retain ownership of information, documents, files, comments, reports, photographs, shipment records, communications, electronic freight documents, and other materials that you upload, submit, transmit, or otherwise provide through the Platform (“User Content”).
By submitting User Content, you represent and warrant that:
• You own the content or have all necessary rights to submit it.
• The content is accurate to the best of your knowledge.
• The content does not violate any law or the rights of any third party.
• The content does not contain malicious software or harmful code.
• You have obtained all permissions necessary to share the information.
You remain solely responsible for all User Content submitted through your Account.
16. License to User Content
To operate the Platform, you grant LoadShield a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:
• Host
• Store
• Process
• Display
• Transmit
• Index
• Analyze
• Backup
• Secure
• Reproduce
• Improve
• Use
Your User Content solely for purposes related to providing, maintaining, improving, securing, and operating the Platform.
This license includes the right to process User Content using automated technologies, artificial intelligence systems, machine learning models, fraud detection algorithms, analytics tools, and other technologies necessary to deliver the Services.
LoadShield will not sell your confidential business information except as described in these Terms or our Privacy Policy.
17. Verification Data
LoadShield maintains databases containing transportation-related verification information, which may include:
• Motor carrier registration status
• Broker registration status
• USDOT and FMCSA information
• Insurance verification status
• Safety information
• Identity verification results
• Authority status
• Equipment verification
• Banking verification status
• Contact verification
• Compliance indicators
• Risk assessment information
• Operational history
• Public regulatory information
• Third-party verification results
Verification information may originate from:
• Government agencies
• Insurance providers
• Commercial databases
• Public records
• Authorized third-party partners
• User submissions
• Independent verification processes
LoadShield makes reasonable efforts to maintain accurate information but cannot guarantee that all verification information is complete, current, or error-free.
Verification results represent information available at a specific point in time and should not be relied upon as the sole basis for any business decision.
18. Identity Alerts
LoadShield allows authorized Users to submit reports regarding suspected fraud, identity theft, cargo theft, document fraud, or other transportation-related risks (“Identity Alerts”).
Identity Alerts may include, but are not limited to:
• Suspected double brokering
• Identity theft
• Cargo theft
• Fraudulent carrier impersonation
• Unauthorized dispatch activity
• Fictitious pickups
• Load diversion
• Trailer theft
• Equipment theft
• Stolen freight
• Payment fraud
• Check fraud
• Wire fraud
• Insurance fraud
• Forged shipping documents
• Counterfeit Bills of Lading
• Fraudulent Proofs of Delivery
• Unauthorized banking changes
• Suspicious email domains
• Cybersecurity incidents affecting freight transactions
Users submitting Identity Alerts represent that the information is submitted in good faith and based upon facts reasonably believed to be accurate.
Knowingly submitting false, misleading, malicious, defamatory, or fraudulent Identity Alerts is strictly prohibited and may result in suspension, termination, legal action, or referral to law enforcement.
19. LoadShield Verification Notices
LoadShield may independently publish verification notices or risk indicators based on information obtained through lawful sources.
These notices may include:
• Identity verification status
• Insurance monitoring results
• Authority changes
• License suspensions
• Regulatory actions
• Address inconsistencies
• Contact discrepancies
• Fraud indicators
• Security warnings
• Compliance alerts
• Operational status changes
These notices are intended solely to assist Users in conducting their own due diligence.
They do not constitute legal advice, financial advice, underwriting decisions, credit opinions, or guarantees regarding any individual or business.
20. Electronic Freight Documents
LoadShield may facilitate the creation, storage, transmission, execution, and verification of electronic freight documentation, including:
• Electronic Bills of Lading (eBOL)
• Electronic Proofs of Delivery (ePOD)
• Rate Confirmations
• Pickup Authorizations
• Delivery Authorizations
• Shipment Receipts
• Freight Manifests
• Driver Verification Records
• Digital Signatures
• QR Code Pickup Tokens
• Shipment Verification Tokens
• Chain-of-Custody Records
Users are solely responsible for reviewing all electronic documents before relying upon them.
LoadShield does not guarantee the legal enforceability of any electronic document in every jurisdiction.
Each User remains responsible for complying with all applicable federal, state, provincial, and international laws governing electronic records, transportation documents, and commercial transactions.
21. Data Analytics and Platform Improvements
LoadShield may aggregate, anonymize, and de-identify information collected through the Platform to:
• Improve fraud detection
• Enhance identity verification
• Improve shipment security
• Develop new features
• Analyze industry trends
• Produce statistical reports
• Improve machine learning models
• Enhance transportation intelligence
• Monitor Platform performance
Aggregated or anonymized information will not intentionally identify any individual User or Customer.
22. Content Removal
LoadShield reserves the right, but assumes no obligation, to remove, restrict, edit, suspend, or disable access to any User Content or Identity Alert that:
• Violates these Terms.
• Appears fraudulent or misleading.
• Infringes intellectual property rights.
• Violates applicable law.
• Threatens Platform security.
• Contains malware or harmful code.
• Creates unreasonable legal or operational risk.
• Is otherwise objectionable in LoadShield’s reasonable judgment.
LoadShield may preserve removed content when required for legal compliance, investigations, dispute resolution, or law enforcement cooperation.
23. No Reliance on Platform Content
All Platform Content, Verification Data, Identity Alerts, reports, analytics, and transportation intelligence are provided for informational purposes only.
Users remain solely responsible for conducting their own independent due diligence before entering into any freight transaction, transportation agreement, payment arrangement, or business relationship.
LoadShield does not guarantee the accuracy, completeness, timeliness, or reliability of any Platform Content and disclaims responsibility for business decisions made in reliance on information available through the Platform.
